Welcome to JobFitResume.io (the "Website"), operated by Avinya Innovations LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Website and all services, features, and content provided through the Website (collectively, the "Services").

You understand and agree that the purpose of the Services is to analyze and process your User Data to provide resume-related services. Your act of uploading User Data constitutes your explicit consent to these Terms, including the Disclaimer of Warranties (Section 7) and Limitation of Liability (Section 8). Furthermore, by uploading User Data, you irrevocably waive any right to bring a claim or lawsuit against Avinya Innovations LLC, its affiliates, officers, directors, employees, agents, or licensors, in any court of law or equity, regarding the processing, storage, or use of your User Data in accordance with these Terms and our Privacy Policy, except as expressly provided by mandatory law that cannot be waived.

7. Intellectual Property Rights

• Our Content: All content on the Website and Services, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, is the property of Avinya Innovations LLC or its content suppliers and is protected by United States and international copyright laws.
• User Content: You retain ownership of any content you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in connection with the operation of the Services.
• Trademarks: The JobFitResume.io name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Avinya Innovations LLC or its affiliates or licensors. You must not use such marks without the prior written permission of Avinya Innovations LLC.

NEITHER AVINYA INNOVATIONS LLC NOR ANY PERSON ASSOCIATED WITH AVINYA INNOVATIONS LLC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER AVINYA INNOVATIONS LLC NOR ANYONE ASSOCIATED WITH AVINYA INNOVATIONS LLC REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

You agree to defend, indemnify, and hold harmless Avinya Innovations LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

11. Governing Law and Jurisdiction

All matters relating to the Services and these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Texas without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State of Texas, in each case located in Dallas County, Texas, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Mandatory Arbitration: At our sole discretion, we may require you to submit any disputes arising from these Terms or use of the Services, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Texas law.

12. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Miscellaneous

• Entire Agreement: The Terms and our Privacy Policy constitute the sole and entire agreement between you and Avinya Innovations LLC regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
• Waiver and Severability: No waiver by Avinya Innovations LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Avinya Innovations LLC to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
• Headings: The headings in these Terms are for convenience only and have no legal or contractual effect.
